2. Our Contact With You.

These Terms apply to all orders for Goods placed by you with us through our website, by telephone, by email, by purchase order or through an approved trade account. The Contract is the entire agreement between us for the sale of the Goods. No terms or conditions contained in any of your documents shall apply unless we expressly agree to them in writing. These Terms are in English only.

3. Orders.

Any quotation given by us is an invitation to treat only and is valid for the period stated in it or, if no period is stated, for 30 days from its date unless withdrawn earlier. Each order placed by you is an offer to purchase Goods subject to these Terms. An acknowledgement of your order, discussion of availability or estimated delivery date does not constitute acceptance. A binding Contract is formed only when we confirm acceptance of the order in writing, dispatch the Goods, or otherwise begin performance of the order. We may refuse any order in whole or in part, including where Goods are unavailable, pricing is incorrect, credit approval is not granted, or we reasonably believe there is a risk of non-payment.

4. Quotations, Product Information and Customer Instructions.

Descriptions, specifications, drawings, catalogues, website content and marketing materials are approximate only and are intended to give a general indication of the Goods. You are responsible for checking that the Goods ordered are suitable for your intended use and that any specification, quantity, dimensions, compatibility details, delivery information and site access information provided by you are complete and accurate. Where Goods are supplied to your specification or sourced specially for you, you are responsible for the accuracy of the information you provide and we shall not be responsible for any error arising from it.

5. Goods.

Images, samples and illustrations are for guidance only. Measurements, weights and dimensions may vary within normal manufacturing tolerances, including any stated tolerance. Packaging may vary and we may make changes to specifications where required to comply with applicable law or where the change does not materially affect the nature or quality of the Goods. You must inspect the Goods on delivery or collection. Visible damage, shortages or incorrect items must be notified to us within 48 hours, and any non-obvious defect must be notified within 5 working days of discovery and in any event within a reasonable time. You must give us a fair opportunity to inspect the Goods and, if requested, return them. Failure to notify us within the required time may constitute acceptance of the Goods.

6. Cancellation & Returns.

Cancellation requests must be made within 3 days of order acceptance and are subject to approval.

Faulty Goods will be repaired, replaced or refunded.

Approved non‑faulty returns may incur up to a 25% restocking fee.

Returns must be made within 5 days of approval and remain at your risk until received.

7. Delivery, Risk & Title.

Any delivery dates or times are estimates only and time of delivery is not of the essence unless we expressly agree otherwise in writing. We may deliver the Goods in instalments. Delivery occurs when the Goods are made available at the delivery location specified in the order, or, where collection is agreed, when the Goods are made available for collection from our premises or other notified location. You must provide suitable access, facilities and any information reasonably required for delivery. If delivery is delayed, prevented or made more expensive because of your act or omission, we may charge you for any resulting costs and store the Goods at your risk and expense. Risk in the Goods passes on delivery or collection. Ownership passes only once payment is received in full for the Goods and all other sums due to us. Until ownership passes, the Goods must be stored separately, be clearly identifiable as our property, be insured for their full price, and may be recovered by us.

8. Delivery Territory.

Delivery is within the UK only.

If you arrange onward transport, export, resale or use of the Goods outside the UK, you are responsible for ensuring compliance with all applicable laws, regulations, import requirements, sanctions, standards and product suitability requirements in the destination market unless we expressly agree otherwise in writing.

9. Price & Charges.

Prices for website orders are as shown on the website at the time the order is submitted. Prices for non-website orders are as stated in our quotation, sales acknowledgement, order confirmation or otherwise notified by us in writing. All prices are exclusive of VAT and any other applicable taxes, duties or levies unless expressly stated otherwise. Delivery, packaging, carriage, pallet, insurance and any other ancillary charges are additional unless expressly included. We may correct any clerical or pricing errors at any time before acceptance of the order. We may also adjust prices prior to delivery where our costs increase due to factors beyond our reasonable control, including increases in supplier costs, freight, import duties, exchange rates or changes in law.

10. Payment – Card, Pro Forma and Account Customers.

10A. Card and Online Checkout Customers

Payment is due in full at the time of order and Goods will not be dispatched until cleared funds are received.

10B. Card and Online Checkout Customers

For telephone, email, purchase order or other non-website orders where no credit account is in place, we may require payment in advance in full by card, bank transfer or any other method accepted by us. Goods will not be ordered, allocated, manufactured or dispatched until cleared funds are received.

10C. Account Customers

Credit accounts are granted and maintained at our discretion and may be subject to status checks, credit limits and additional conditions. Unless agreed otherwise in writing, payment terms are 30 days from the invoice date. We may suspend supply, amend or withdraw credit limits, place orders on hold, or require payment in advance where any amount is overdue or we reasonably believe there is a risk of non-payment. Time for payment is of the essence. You must pay all amounts due in full without set-off, counterclaim, deduction or withholding, except as required by law. Late payments incur interest at 4% above the Bank of England base rate from time to time, calculated daily, together with our reasonable debt recovery costs.

11. Warranty.

Goods are warranted for 12 months from delivery to match description and be of satisfactory quality.

Warranty excludes misuse, improper installation, modification and normal wear and tear.

12. Liability.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or any other liability that cannot legally be limited or excluded. Subject to that, we shall not be liable for any indirect or consequential loss, loss of profit, loss of business, loss of goodwill or loss of opportunity. Our total liability in connection with any order shall not exceed the price paid for the relevant Goods.

13. Events Outside Our Control.

We are not liable for delays caused by events beyond our reasonable control.

Orders affected for more than 21 days may be cancelled.

14. Communications.

Any notice under these Terms must be in writing and may be sent by email or post using the contact details last notified by the receiving party. A notice sent by email is deemed received at 9.00am on the next working day after transmission, provided no delivery failure notice is received. A notice sent by post is deemed received 3 working days after posting.

15. General & Termination.

These Terms are governed by English law and the courts of England and Wales shall have exclusive jurisdiction. We may suspend or terminate any Contract, or cancel further deliveries, if you fail to pay on time, commit a material breach, or become insolvent. On termination, all sums due to us become immediately payable. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Any failure by us to enforce a right shall not be treated as a waiver of that right.
